1. Agreement to Terms

By accessing or using EchoAI (“Service”), including our website, API, SDK, dashboard, and any voice agent or telephony features, you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.

2. Description of Service

EchoAI provides a voice AI platform that enables you to build and run voice agents, including speech-to-text, language model, and text-to-speech pipelines; connect agents to the web and to phone numbers; and manage configuration, API keys, and call activity via a dashboard. The Service may include software (e.g., SDKs), APIs, documentation, and support materials. We may update, suspend, or discontinue features with reasonable notice where practicable.

3. Account Registration and Security

You must create an account to use certain parts of the Service. You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity under your account. Notify us promptly of any unauthorized access or breach.

4. Acceptable Use

You agree not to use the Service to: (a) violate any applicable law or third-party rights; (b) transmit harmful, fraudulent, or illegal content; (c) harass, abuse, or harm others; (d) impersonate any person or entity; (e) interfere with or disrupt the Service or our infrastructure; (f) attempt to gain unauthorized access to any system or data; or (g) use the Service for high-risk applications (e.g., emergency services, medical advice, or critical safety) without explicit written approval. We may suspend or terminate access for violations and report activity to authorities where required.

5. Fees and Payment

Some features may be subject to fees as described on our website or in your plan. You agree to pay all applicable fees. We may change pricing with notice. Unpaid amounts may result in suspension of the Service. Refunds are handled according to our billing policy as stated at the time of purchase.

6. Intellectual Property

We retain all rights in the Service, our technology, branding, and content. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain rights in content you provide; you grant us a license to use that content to operate and improve the Service. You may not copy, modify, or create derivative works of our software or documentation except as permitted in writing or by applicable open-source terms.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECHOAI ENTERPRISE INC AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR USE, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify and hold harmless EchoAI Enterprise Inc, its affiliates, and their respective officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your violation of these Terms or any law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your account or access if you breach these Terms or for other operational or legal reasons. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing herein limits either party from seeking injunctive or other equitable relief.

12. Changes

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Material changes may be communicated via email or a notice in the Service. Continued use after changes constitutes acceptance. If you do not agree, you must stop using the Service.
